Key Points

  • Cannabis Strategic Ventures signed a non-binding letter of intent to acquire Adport’s operating assets and intellectual property.
  • Adport develops mobile, battery-powered digital advertising screens for delivery riders and fleet operators.
  • The company is running a New York pilot with nine screens used by nine delivery riders.
  • If completed, the stock-for-assets deal would give NUGS a new operating business, new name, new trading symbol, and management team designated by Adport.
  • The transaction remains subject to due diligence, audit, privacy review, intellectual property assignments, definitive agreements, and other closing conditions.

Cannabis Strategic Ventures (OTC: NUGS) has signed a non-binding letter of intent to acquire substantially all operating assets and intellectual property of Adport, a mobile out-of-home advertising technology company.

The proposed transaction would move NUGS beyond its former cannabis operations and into a new ad-tech business. Cannabis Strategic Ventures said it has had no active business, revenue, or assets for several years.

Adport Builds Mobile Digital Advertising Network

Adport develops portable, battery-powered outdoor digital screens designed for use by delivery riders and fleet operators.

The screens include sensors that analyze audience activity locally and send statistical information, such as viewer counts, dwell time, and engagement data, to Adport’s platform. The company said its current system does not transmit images or video.

The devices use 18.5-inch outdoor LCD panels rated at 2,000 nits and run for about six hours on battery power. Sensors can adjust brightness, rotate content, and select advertisements based on the device’s location.

New York Pilot Has Nine Mobile Ad Displays

Adport is conducting a pilot in New York with a delivery-fleet operator. The company currently has nine screens in use with nine delivery riders.

Under Adport’s business model, riders and fleet operators use the screens while traveling their normal routes and receive a share of advertising revenue. The model aims to create ad inventory without the expense of buying billboard locations or securing fixed-site permits.

Advertisers would buy campaigns through Adport’s self-service platform, which the company said is built to integrate with programmatic advertising systems.

NUGS Would Issue Stock for Adport Assets

NUGS would acquire Adport’s assets in exchange for newly issued voting common stock and assume only specifically listed liabilities under the proposed structure.

Adport would then liquidate and distribute the consideration shares to its shareholders. The companies may instead use a share exchange that would make Adport a wholly owned NUGS subsidiary if due diligence and tax counsel support that route.

If the deal closes, NUGS expects to operate under a new name and trading symbol, with a board and management team selected by Adport.

Closing Depends on Due Diligence and Privacy Review

The letter of intent is non-binding and does not guarantee a transaction will be completed.

Closing conditions include definitive agreements, a PCAOB-compliant audit, intellectual property assignments, due diligence, required approvals, and a legal review of biometric and data-privacy considerations.

The company would pursue financing separately after closing. Key investor risks include transaction failure, shareholder dilution, financing needs, technology performance, privacy compliance, advertiser demand, and successful execution of the planned operating-business transition.
