Femasys Inc. (Nasdaq: FEMY) is strengthening its fertility and women’s-health strategy with a $30 million private placement, even as second-quarter sales declined. The capital is intended to support the U.S. rollout of its FemaSeed fertility portfolio and continued clinical and regulatory work on FemBloc, its investigational non-surgical permanent birth-control product.

Fertility Product Mix Shift Weighed on Quarterly Sales

Femasys generated $331,827 in Q2 sales, down from $409,268 a year earlier, primarily on lower FemVue diagnostic sales. First-half revenue rose slightly to $756,716 from $750,532, as FemaSeed sales helped offset the FemVue softness — underscoring the company’s push to grow FemaSeed into a larger revenue contributor.

 Expanded Clinical and Commercial Investment Widened the Operating Loss

R&D expense rose 37.6% to $1.95 million on higher clinical-program costs. Sales and marketing rose to $1.29 million from $985,000, and G&A rose to $1.93 million from $1.62 million, pushing the operating loss to $5.07 million from $3.85 million. Net loss narrowed modestly to $4.47 million, aided by non-cash warrant and conversion-option fair-value gains — a benefit to reported results, not to underlying operations.

 New Financing Extends Runway but Carries Dilution Risk

Cash stood at $1.44 million at June 30, down from $9.3 million at year-end 2025. The post-quarter $30 million private placement significantly improves liquidity, with warrants that could add up to $60 million more if exercised. However, the securities issued — including the warrants — may result in meaningful dilution for existing FEMY shareholders if converted.

 FemaSeed Complete Marks Early Commercial Progress

Femasys introduced FemaSeed Complete at the 2026 ACOG meeting and reported its first commercial procedures. The portfolio supports intratubal insemination through OB/GYN practices, which the company believes could expand access to fertility care ahead of more complex treatments. Success will hinge on provider adoption, reimbursement, and sales execution.

 FemBloc Trial Remains the Key Regulatory Catalyst

The FINALE pivotal trial (NCT05977751) continues toward a potential U.S. FDA submission for FemBloc, which is not yet approved domestically but holds approvals in Europe, the UK, and New Zealand. Femasys also secured expanded FemBloc patent protection, CE Mark clearance for its FemHSG Catheter, a new Israel commercial partnership with AMI Technologies, and named John Canning chief operating officer.
