TMC Inks Landmark Allseas Deal to Launch First Commercial Deep-Sea Nodule Mining System

TMC The Metals Company Inc. (NASDAQ: TMC) has signed a definitive commercial agreement with Allseas to build and operate what is expected to be the first commercial-scale deep-sea nodule recovery system in the Clarion-Clipperton Zone, marking a key step in TMC’s transition from pilot testing to potential revenue-generating production.

Deal overview

TMC and Allseas have entered into a long-term “Contract for Development Work and Commercial Production” covering the design, construction, and operation of the initial nodule collection system in the Pacific’s Clarion-Clipperton Zone.

The offshore system will include two seabed collector vehicles, launch and recovery systems, a riser to bring nodules to the surface, the Hidden Gem as the production vessel, and a transfer ship for at-sea loading to bulk carriers.

Scale and production profile

The planned system is designed for a nameplate capacity of about 3.0 million wet tonnes of polymetallic nodules per year from water depths greater than four kilometers.

Recovered nodules will be transferred at sea to bulk carriers and shipped to selected ports for processing into nickel, cobalt, copper, and manganese, metals that TMC aims to supply into battery, energy, defense, and broader industrial markets.

Economics and funding structure

Under the agreement, Allseas will shoulder a substantial portion of the development, procurement, and integration costs for the offshore system, with these investments to be repaid from future project revenues once commercial production begins.

This structure lowers upfront capital intensity for TMC while tightly aligning both parties around successful ramp-up, utilization, and long-term operational performance.

Strategic significance

The deal builds on a strategic alliance dating back to 2019, including a 2022 pilot campaign that successfully lifted roughly 3,000 tonnes of nodules to the surface and helped validate core components of the system and environmental approach.

Management characterizes this new contract as the “cornerstone” of the partnership, turning prior engineering and pilot milestones into a concrete commercialization path, with an objective of initiating offshore production in the CCZ later this decade.

Project status and upcoming milestones

Concept and basic engineering for major long-lead items such as the riser, umbilical, and launch and recovery systems are already in place, with formal tenders and vendor engagement expected to ramp in the near term and subcontract awards targeted by the end of Q3 2026.

In parallel, TMC is progressing regulatory and environmental work, including U.S. NOAA applications under the Deep Seabed Hard Mineral Resources Act and broader impact assessments required before full commercial operations can begin.

Investor-focused takeaways

For equity holders, this agreement meaningfully de-risks the offshore execution side of TMC’s business by locking in a top-tier deepwater contractor that both builds and operates the system and is economically tied to production outcomes.

The contract provides greater visibility into scale, capex sharing, and development milestones, helping to bridge the gap between TMC’s large in-situ nodule resource and a realistic path to future cash flow generation.
